Terms and Agreements

Please read these Terms of Use (this “Agreement”) fully and carefully before using the Site and Services. This Agreement sets forth the legally-binding terms and conditions for your use of the Site and Services. BY REGISTERING FOR AND/OR USING THE SERVICES IN ANY MANNER, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND ACCEPT THIS AGREEMENT AND ALL OTHER OPERATING RULES, POLICIES AND PROCEDURES REFERENCED HEREIN, EACH OF WHICH IS INCORPORATED HEREIN BY THIS REFERENCE AND EACH OF WHICH MAY BE UPDATED FROM TIME TO TIME AS SET FORTH BELOW, TO THE EXCLUSION OF ALL OTHER TERMS. You may not use the Services if you do not unconditionally accept this Agreement. If you are accepting on behalf of an organization, you represent and warrant that you have the authority to do so; however, if your organization has entered into a separate contract with Monopond covering its use of the Services, then that contract shall govern instead.

These Terms constitute the entire agreement between you and Monopond , and supercede any previous agreements.

Overview of the Monopond service

Monopond specializes in offering price competitive Fax Broadcasting services to small and large scale businesses - NO setup fees or hidden charges. We provide a suite of products and services that allow Customers to broadcast fax through innovative digital solutions using the internet.

Account registration and use

Customer and its Authorized Users may need to register for a Monopond account to access or use the services. Account information must be accurate, current, and complete, and will be governed by Monopond’s Privacy Policy. Further information about the use of service is defined below:

  • You use the Service via an account, which you can access via the username and password given to you. Using the web site and your username and password, you specify which email address(es) you can be identified by when you use the Service via website.
  • You are responsible for any content you transmit using the Service. Monopond accepts no responsibility for any content sent to any person using the Service.
  • It is your sole responsibility to keep your account login and password secure. You are responsible for any use or abuse of the Service via your account.
  • You acknowledge that Monopond may, at its sole discretion, adjust certain aspects of the Service. Although Monopond will make its best effort to notify customers in advance of any changes to the Service, it is not required to do so.
  • You acknowledge that your email address is used by Monopond for notification of changes to pricing, these Terms, and other aspects of the Service. Monopond is not responsible if, at any time, you are not contactable via this email address.

Ownership and Feedback

As between the parties, Customer retains all right, title, and interest (including any intellectual property rights) in and to the content and documents that Customer uploads into the Monopond Service (excluding any Monopond intellectual property) (the “Customer Data”).

If Customer elects to provide any suggestions, comments, improvements, information, ideas or other feedback or related materials to Monopond (collectively, “Feedback”), Customer hereby grants Monopond a worldwide, perpetual, non-revocable, sublicensable, royalty-free right and license to use, copy, disclose, license, and distribute any Feedback in any format and in any manner without any obligation, payment, or restriction based on intellectual property rights or otherwise.

Privacy and Security

The information you provide to us or that we collect will be used as described in these Terms and in the Monopond Privacy Policy. Please carefully read the Monopond Privacy Policy as it contains important details about our collection, use and retention of information.

Monopond protects your information from unauthorized use or disclosure by taking reasonable technical and organizational measures designed to secure our systems from unauthorized access, use or modification.

Customer Obligation

Customer agrees to:

  • Maintain a legally-adequate privacy policy on its Customer Properties, and provide all required disclosures
  • Obtain all necessary rights, releases, and consents to allow Customer Data or other information (including any personal information) to be collected, used, and disclosed in the manner contemplated by these Terms and to grant Monopond the rights and licenses set out in these Terms

Payment Terms

  • Subscription Plan

    The prices, features, and options of the Monopond Services depend on the Subscription Plan selected by Customer (including any usage or overage fees). Monopond does not guarantee that your particular Subscription Plan will be offered indefinitely. We reserve the right to change the prices, features, or options included in a particular Subscription Plan without notice, provided that such changes shall not take effect until your next applicable subscription term.

  • Recurring Charges

    By signing up for a Subscription Plan, Customer authorizes Monopond to charge Customer’s payment method on a recurring basis (e.g. monthly, quarterly, or yearly depending on Customer’s Subscription Plan) with an invoice. Customer expressly authorizes Monopond to charge its payment method (such as a credit card) for the applicable subscription charges, any usage or overage charges, and any and all applicable taxes and fees. Such authorization is effective until the end of the Subscription Term and any applicable Renewal Term, or until Customer cancels all of its subscription

  • Taxes

    Monopond’s fees are exclusive of all taxes, and the Customer must pay any applicable sales, use, VAT, GST, excise, withholding, or similar taxes or levies, whether domestic or foreign, other than taxes based on the income of Monopond. Customer will not deduct any applicable taxes from the payments to Monopond, except as required by law. If such deduction is required by law, Customer will increase the amount payable as necessary so that after making all required deductions and withholdings, Monopond receives and retains (free from any such liabilities) an amount equal to the amount it would have received had no such deductions or withholdings been made.

  • No Refunds

    Except as expressly provided in these Terms, all charges and payments are non-refundable, non-cancellable, and non-creditable.

Change of these Terms

Monopond may amend these Terms at any time, by giving reasonable notice by email. Any changes to these Terms will be available for viewing on our web site. If you do not agree to the amended Terms, you may request to have your account closed.

Disclaimers and liability

You indemnify Monopond against any costs, expenses, loss or liability directly or indirectly suffered or incurred by Monopond (including as a result of a claim by a third party) resulting from any breach of these Terms by you or misuse of the Service by you or any person using the Service.

You acknowledge that:

  • You are responsible for any content you transmit using the Service. Monopond accepts no responsibility for any content sent to any person using the Service.
  • Monopond is not responsible for any damage suffered by any person, directly or indirectly, through your use of the Service. You agree not to make any claim against Monopond for any damages resulting directly or indirectly from the use of the Service.
  • While we make our best effort to provide a reliable and stable Service, Monopond do not make any warranty or representation regarding the performance of the Service.

Suspension and Termination

You may request to have your account terminated at any time.

Monopond may suspend or terminate the Service immediately at any time without liability to you if Monopond has sufficient reason to do so, including but not limited to:

  • if you breach these Terms;
  • you or any person using your account misuses the Service;
  • there are reasonable grounds for Monopond to suspect any of the above.

Monopond reserves the right to suspend or terminate your account for any reason on notice to you. Any amounts paid by you in advance are forfeited upon termination of your account. Any amount payable by you remain payable on termination of your account.
